On Tuesday, March 1st, W. Dean Salter of the law firm of Holme Roberts Owen visited Professor Melissa Hart's Legal Ethics and Professionalism class.Salter talked with the class about the current Colorado Rules of Professional Conduct applicable to the attorney representing an organization and the proposed changes to those rules to reflect recent changes to the ABA's Model Rules. He also discussed Sarbanes-Oxley and the SEC's current and proposed rules governing the conduct of attorneys practicing securities law, and used examples from his practice and other hypotheticals to illustrate the kinds of ethical problems that lawyers face most frequently in corporate practice.W. Dean Salter was the chair of the firm's Executive Committee from 1990 to August 2000. He came to the firm in 1967 and practices in the Denver office. He concentrates his practice on corporate law and securities, representing primarily telecommunications and technology companies. In his securities practice, Mr. Salter represents clients in matters relating to tender offers, federal registration of securities, private placements, periodic reports and proxy statements, mergers and acquisitions, and joint ventures. He also represents cable television, telecommunications and manufacturing clients in connection with European business activities. He also has substantial experience in financing transactions and equipment leasing.
